Three of us formed a nonprofit corporation, and I am the president of the Board. The other two board members resigned one week after they signed the Articles Of Incorporation and the Bylaws. The state has already issued me a Certificate Of Incorporation, and all tax IDs and bank accounts have already been established. How long should bylaws be for a nonprofit youth organization? It is a new nonprofit, no employees as of yet just approved for articles of incorporation, so now I have to create the bylaws.


I have read that they do, but can't find the statute anywhere in the IRS code or Corporate law. Help!

Just to make it clear this is not what I want to do its just a subject I need to pass in order to finish school, But if you dont want to give me correct answers can you atleast tell me what questions I have wrong?


I'm Pres of a nonprofit and some members (we are all volunteers) are arguing over our Bylaws and that all members should vote on everything. I think this slows progress to a screeching halt!


I know that the board should have:
-Articles of Incorporation
-Bylaws
-List of Corporate Members titles, duties, roles and responsibilities
-List of Board Member Qualifications duties, roles and responsibilities
-Membership letter saying they are a board member
-Financial reports of what is in the bank account
-Access to minutes book
-Copies of all organizational policies
-Receipts for personal donations

But Should all of the board members have the:
-Tax ID #
-Dun and Bradstreet# (business credit report info)
-EIN #
-CCR information (government grants and contractor database info)
-Non-Profit Tax Exemption Status #
-The Bank Account Numbers
-Should they know what other board members have donated or just what they (themselves) have donated?

Should the whole board have this information or just the treasurer, Executive Director or Business Manager?

What shouldn't the Board of Directors know?? What information is to much information?

As per the Articles of Incorporation: "The corporation shall have no members. The management of the affairs of the corporation shall be vested in a Board of Directors, as defined in the corporation's bylaws. No Director shall have any right, title, or interest in or to any property of the corporation." Is that to say that the Board of Directors may not provide direct services, e.g. can a Director of a school be a teacher? Thanks for any insight.


In term of doing any fundraising activities in the state of MA or within any state in the United States, can a nonprofit-- with all legal paperwork (bylaws, articles, 501c3) in its possession, except a certificate for solicitation--conduct any fundraising, seek any grants from sources? Please advise me at your convenient time.


In California, mailed ballots are used in nonprofit associations. Our association uses delegates from local chapters with the number of delegates dependent upon the size of the chapter. A delegate can only vote on those issues or candidates that are known at the time the ballots are mailed out. The question then arises as to what happens when at the actual meeting a candidate runs for office from the floor. Can alternate delegates come to the meeting in place of the delegate that mailed their ballot and substitute themselves even though the regular delegate has already mailed their ballot? How would we stop double voting from occurring on those issues already in the mailed ballot? Would it be legal to simply declare the written ballot invalid? How do we reconcile the California law that says written ballots cannot be revoke? Are alternate delegates simply incompatible with a written ballot process? Does anyone have bylaws for an association that resolves this type of conflict?

Our original bylaws indicated six individuals to become the member of the board of directors. Due to politics and limited knowledge of the people at the place of worship, they expanded to 26 people. Also, the head of the priests serve as the President or Chairperson of the board. I do appreciate any insight information or comments that you can make. I suggested to the group that we should stick with our original charters. (The group acted more like a gang, by bringing their peers to serve on the board and making decisions toward their own.) My local place of workship has abandoned their existing bylaws and practices their own ways. We are in the State of Missouri. Should I contact the secretary of State office or the IRS? For example, the place allows any walk-ins or group of people to vote for the board of directors, instead of its members. There are a lot of practices that violated the original charter. The bylaws specify that we should have the members and applications. In the current practice, there is no membership information. I do appreciate all comments. Thank you.

I'm trying to estabish a non profit corporation tax-exempt status





I serve on the board of directors of a nonprofit arts council. Our president/chair has developed a committee of herself and one other board member to update our bylaws. As chair I know that she is allowed to serve ex officio, but does that mean she can contribute and actually do the work of the committee? Or is her role actually as an advisor?
I understand what "ex officio" means definition wise. However, I am looking for information of what someone serving ex-officio can actually do? What are their duties limited to?
